Affiliate Program Terms and Conditions

These Affiliate Terms and Conditions (“Affiliate Terms”) govern participation in the affiliate and partner program (the “Program”) operated by INS CORE LABS INC., a corporation organized and existing under the laws of the Republic of Panamá, registered at the Registro Público de Panamá under Folio No. 155782565 (“InstaSwap,” “we,” “us”). By registering for the Program, integrating the InstaSwap API or widgets with an affiliate identifier, or otherwise participating in the Program, you (“Affiliate,” “Partner,” or “you”) agree to these Affiliate Terms.
These Affiliate Terms supplement, and incorporate by reference, the InstaSwap Terms of Use and Privacy Policy. In the event of conflict regarding the Program, these Affiliate Terms prevail.
1. The Program
1.1 The Program allows Affiliates to refer users to the InstaSwap Services via referral links, the partner API, or embeddable widgets, and to earn a share of the service fees generated by referred transactions (“Revenue Share”).
1.2 InstaSwap provides Affiliates with an affiliate identifier, access to a partner dashboard showing referred transactions and earnings, and, where applicable, API keys and webhook notifications.
1.3 Affiliates may, where enabled, configure an additional partner fee on referred transactions within the limits permitted by InstaSwap. All fees applicable to a transaction are incorporated into the quote shown to the end user before the user commits to the transaction.
2. Eligibility
2.1 You must be at least the age of majority in your jurisdiction and, if acting for an entity, authorized to bind that entity.
2.2 You must not be a resident, citizen, or national of, located in, incorporated in, or have a registered office in any Restricted Territory as defined in the InstaSwap Terms of Use, and you must not be a member of any sanctions list maintained by the United States, the United Kingdom, the European Union, the United Nations, or any other applicable governmental authority.
2.3 InstaSwap may accept or reject any Program application at its sole discretion and may require information about you, your platform, and your traffic sources.
3. Affiliate Obligations
3.1 Compliance. You will comply with all applicable laws and regulations, including sanctions, anti-money laundering, counter-terrorist financing, consumer protection, data protection, and advertising laws in every jurisdiction in which you operate or target users.
3.2 No restricted traffic. You will not knowingly refer, target, or facilitate access for users in Restricted Territories, sanctioned persons, or persons engaged in unlawful activity, and you will not assist any person in circumventing InstaSwap's geographic or other restrictions.
3.3 Honest marketing. You will not make false, misleading, or unsubstantiated claims about InstaSwap or the Services; you will not represent yourself as InstaSwap, an agent of InstaSwap, or an entity endorsed by InstaSwap beyond your status as an independent affiliate; and you will not use the InstaSwap name or marks except as permitted by InstaSwap's brand guidelines or prior written consent.
3.4 No spam or abuse. You will not use spam, unsolicited communications, malware, forced redirects, cookie stuffing, self-referrals, wash trading, or any artificial means of generating referred transactions or inflating volumes.
3.5 Integration integrity. If you integrate the API or widgets, you will do so in accordance with the documentation, will safeguard your API credentials, will not modify quotes, fees, or disclosures presented to end users except through the mechanisms InstaSwap provides, and will present end users with access to the InstaSwap Terms of Use before or at the point of transaction.
3.6 Sub-affiliates. Where InstaSwap enables sub-affiliate functionality, you are responsible for the compliance of your sub-affiliates with these Affiliate Terms as if their acts were your own.
4. Revenue Share and Payment
4.1 Revenue Share rates and any partner-fee limits are specified in the partner dashboard or in a separate written agreement, and may be updated by InstaSwap prospectively with notice.
4.2 Earnings accrue on completed referred transactions only. Transactions that are refunded, failed, reversed, or determined to be fraudulent or in violation of these Affiliate Terms do not accrue earnings, and corresponding amounts may be deducted or clawed back.
4.3 Payouts are made in digital assets to the payout address you designate in the partner dashboard, subject to minimum payout thresholds and payout schedules specified there. You are solely responsible for the accuracy of your payout address and for any taxes on your earnings.
4.4 InstaSwap may withhold or suspend payouts pending investigation of suspected fraud, abuse, or breach of these Affiliate Terms.
5. Data
5.1 You will receive information about referred transactions (such as pair, amounts, status, and fees) limited to the transactions you referred. You will handle any such data in compliance with applicable data protection laws and will not attempt to de-anonymize end users.
5.2 Each party is an independent controller of the personal data it processes in connection with the Program.
6. Term and Termination
6.1 These Affiliate Terms apply from your acceptance until terminated. Either party may terminate at any time with notice; InstaSwap may suspend or terminate immediately for breach, suspected fraud or abuse, legal or regulatory reasons, or risk to the Services or their users.
6.2 Upon termination, accrued undisputed earnings above the minimum payout threshold will be paid out in the ordinary course, except amounts connected to breach or fraud, which are forfeited.
6.3 Sections 3, 4.2, 4.4, 5, 7, 8, and 9 survive termination.
7. Disclaimers and Liability
7.1 The Program and the Services are provided “as is.” InstaSwap does not guarantee any level of traffic, conversions, earnings, or availability of the Services.
7.2 To the fullest extent permitted by law, InstaSwap's aggregate liability to you in connection with the Program shall not exceed the Revenue Share paid to you in the three (3) months preceding the event giving rise to the claim, and InstaSwap shall not be liable for indirect, consequential, exemplary, incidental, or punitive damages.
7.3 You will indemnify and hold harmless InstaSwap and its affiliates from any claims, damages, or costs arising from your participation in the Program, your marketing activities, your integrations, or your breach of these Affiliate Terms.
8. Relationship
Nothing in these Affiliate Terms creates a partnership, joint venture, agency, or employment relationship. You have no authority to bind InstaSwap.
9. Governing Law and Disputes
These Affiliate Terms are governed by the laws of the Republic of Panamá. Disputes shall be resolved by binding arbitration in accordance with the arbitration rules of the Centro de Conciliación y Arbitraje de Panamá (CeCAP), conducted in English in Panama City, Republic of Panamá, by a single arbitrator, on an individual basis, as further described in the InstaSwap Terms of Use.
10. Changes
InstaSwap may update these Affiliate Terms from time to time. Material changes will be notified via the partner dashboard or the contact details you provided. Continued participation in the Program after changes take effect constitutes acceptance.
